Further to the announcements dated 17 December 2013, 20 December 2013 and 14 March 2014 in relation to the Proposed Restructuring Scheme, Kenanga Investment Bank Berhad wishes to announce on behalf of the Board of Directors of BGB that to facilitate the implementation of the Proposed Capital Restructuring, the Company will undertake to amend Clause 5 of the Memorandum of Association of BGB as follows: Existing Memorandum of Association of BGB Proposed amendment to the Memorandum of Association of BGB Clause 5 The authorised capital of the Company is Ringgit Malaysia One Hundred Million (RM100,000,000.00) divided into One Hundred Million (100,000,000) shares of RM1.00 each. The shares in the original or any increased capital may be divided into several classes and there may be attached thereto respectively any preferential, deferred or other special rights, privileges, conditions or restrictions as to dividends, capital, voting or otherwise. Clause 5 The authorised capital of the Company is Ringgit Malaysia One Hundred Million (RM100,000,000.00) divided into One Billion (1,000,000,000) shares of RM0.10 each. The shares in the original or any increased capital may be divided into several classes and there may be attached thereto respectively any preferential, deferred or other special rights, privileges, conditions or restrictions as to dividends, capital, voting or otherwise.
