(Unless otherwise stated, all abbreviations used herein shall have the same meanings as those previously defined in our announcement dated 6 May 2014) We refer to the announcements made on behalf of the Board by AmInvestment Bank dated 6 May 2014 and 7 May 2014 in relation to the Proposed ESOS. On behalf of the Board, AmInvestment Bank wishes to announce that Bursa Securities has, vide its letter dated 15 May 2014 (which was received on 16 May 2014), resolved to approve the listing of such number of GOB Shares, representing up to fifteen percent (15%) of the issued and paid-up share capital of GOB (excluding treasury shares), to be issued pursuant to the exercise of ESOS Options subject to the following:- a) AmInvestment Bank is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation together with a certified true copy of the resolution passed by the shareholders in general meeting; and b) GOB is required to furnish Bursa Securities on a quarterly basis a summary of the total number of GOB Shares listed pursuant to the exercise of ESOS Options as at the end of each quarter together with a detailed computation of listing fees payable. Unless otherwise stated, words and phrases used in this announcement shall have the same meanings as defined in the announcement dated 11 September 2013. On behalf of Narra, HLIB wishes to announce that Bursa Securities had, via its letter dated 16 May 2014, resolved to approve the following: (i) the Proposed Share Consolidation; and (ii) the listing of and quotation for the Consideration Shares to be issued pursuant to the Proposed Acquisitions. The approval of Bursa Securities for the listing of and quotation for the Consideration Shares to be issued pursuant to the Proposed Acquisitions is subject to the following conditions: (i) Narra and HLIB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Acquisitions; (ii) Narra and HLIB to inform Bursa Securities upon the completion of the Proposed Acquisitions; (iii) Narra must comply with the public shareholding spread requirements pursuant to Paragraph 8.02 of the Listing Requirements upon the listing and quotation of the Consideration Shares issued pursuant to the Proposed Acquisitions; (iv) Narra and HLIB to furnish the following to Bursa Securities prior to the listing and quotation of the Consideration Shares: (a) confirmation from HLIB that Narra complies with the public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Listing Requirements and a certificate of distribution of the shares in the format contained in Part B(1)(d) of Annexure PN21-A of the Listing Requirements; and (b) a certified true copy of the resolution passed by the shareholders for the approval of the Proposed Acquisitions; and (v) Narra to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisitions are completed.
