RM1.00 each on 12 May 2014 ("the Incorporation"). The intended
activities of HCK Capital Holdings Sdn Bhd are investment holding and
provision of management services. The Incorporation
is not expected to have any significant impact on the earnings and net assets
of the Group for the financial year ending 31 December 2014. However, the
Incorporation is expected to streamline the Group's long term future earnings
and net assets. The Incorporation
is not subjected to the approval of the Company's shareholders. None of the
directors and/or major shareholders of the Company, and/or any person
connected with the directors or major shareholders, have any interest, direct

Reference is made to the announcements dated 11 September 2012, 25 October 2012, 14 November 2012, 4 February 2013, 18 October 2013, 6 November 2013, 16 December 2013, 30 December 2013 and 22 April 2014 in relation to the legal action commenced against the Company by the Plaintiffs. Denko wishes to announce that on 11 May 2014, the Johor Bahru High Court determined as follows: 1a. The 1st and 2nd Plaintiffs’ claim is time-barred under Section 6 of the Limitation Act 1953; and 1b. The 3rd and 4th Plaintiffs do not have privity of contract and are not entitled to enforce Clause 6.04 of the Sale and Purchase Agreement dated 4 June 2002. Therefore, they are not entitled to the reliefs sought in the Statement of Claim. Accordingly, the Plaintiffs’ claim is dismissed with costs. 2. The Court fixed a further case management date on 8 June 2014 for the Defendant to update the Court on the Defendant’s counterclaim and for the Plaintiffs to update on the filing of Appeal against the said decision. Further announcements on any material development on the said legal action will be made as and when it is deemed appropriate to do so. This announcement is dated 12 May 2014. |
