The Board of Directors of Nakamichi Corporation Berhad ("NCB" or "Company") wishes to inform of the following legal affairs of the Company :- The Company's 51% owned subsidiary, Tamabina Sdn Bhd ("TBS") had vide its solicitors, Messrs Farid & Radhi had on 2 September 2013 filed a writ summon against Lo Man Heng and Lai Yun Fung seeking for inter alia, the following prayers - (a) satu perintah injuksi menghalang secara serta merta Defendan Pertama dan/atau Defendan Kedua samaada melalui sendiri, agen-agennya dan perkerja-pekerjanya atau sebaliknya, daripada dalam apa jua cara sekalipun menyamar ("holding out as") dan/atau bertindak dan/atau melakukan representasi kepada mana-mana pihak sebagai pengarah-pengarah syarikat Plaintif dan/atau atas nama syarikat Plaintif; (b) satu perintah injunksi bahawa Defendan Pertama dan/atau Defendan Kedua adalah terhalang daripada samaada melalui sendiri, agen-agennya dan perkerja-pekerjanya atau sebaliknya, melantik dan/atau memberikan arahan kepada mana-mana pihak termasuk mana-mana peguamcara, akauntan, setiausaha syarikat atau sebaliknya, bagi pihak dan/atau atas nama syarikat Plaintif; (c) satu perintah injunksi menghalang Tetuan Gideon Tan Razali Zaini yang beralamat di No. 812, 8th Floor , Block A, Kelana Square, 17, Jalan SS 7/26, Kelana Jaya, 47301 Petaling Jaya Selangor atau mana-mana peguamcara dari firma guaman tesebut daripada menerima arahan daripada Defendan-Defendan bagi pihak dan/atau atas nama syarikat Plaintif; (d) satu perintah injunksi bahawa Defendan Pertama dan/atau Defendan Kedua memulangkan kesemua secretarial documents milik syarikat Plaintif yang telah diambil dan/atau dipindahkan dan/atau dikeluarkan dan/atau masih berada dalam milikan, pegangan dan simpanan Defendan Pertama dan/atau Defendan Kedua kepada setiausaha syarikat Plaintif, Ms Wong Keo Rou dari Shareworks Sdn Bhd yang beralamat di No.10-1, Jalan Sri Hartamas 8, Sri Hartamas, 50480 Kuala Lumpur, 7 hari dari tarikh perintah ini; (e) Satu perintah membenarkan syarikat Plaintif secara serta-merta samaada melalui agen-agen, pekerja-pekerja Plaintif dan/atau sebaliknya bagi mendapat akses penuh kepada premis perniagaan Plaintif yang beralamat di Blok 12, Lot 5, 2nd Floor, Bandar Indah, Mile 4, North Road, Sandakan Sabah, Malaysia atau mana-mana premis perniagaan/operasi syarikat Plaintif yang lain tanpa sebarang halangan daripada Defendan-Defendan mahupun agen-agen, pekerja-pekerja Defendan-Defendan; (f) Satu perintah bahawa Defendan-Defendan secara berasingan mendeposkan satu afidavit berkenaan dengan senarai penuh kesemua aset milikan syarikat Plaintif termasuk dan tidak terhad kepada kesemua dokumen milikan plaintif yang samada berada dalam pengetahuan, milikan dan pegangan Defendan-Defendan, 7 hari dari tarikh selepas perintah ini. (g) satu perintah taksiran ganti rugi diberikan bagi kerugian yang dialami oleh syarikat Plaintif disebabkan tindakan Defendan Pertama dan/atau Defendan Kedua bagi salah laku kekacauan (trespass/interference with) terhadap secretarial documents dan detinue keatas asset milik syarikat Plaintif; (h) Satu perintah taksiran ganti rugi diberikan bagi kerugian yang dialami oleh syarikat Plaintif disebabkan tindakan Defendan Pertama dan/atau Defendan Kedua disebabkan arahan yang diberikan oleh Defendan Pertama dan/atau Defendan Kedua kepada mana-mana pihak termasuk dan tidak terhad kepada peguamcara, akauntan, dan setiausaha syarikat untuk terus bertindak bagi dan/atau nama syarikat Plaintif melalui arahan Defendan-Defendan selepas tarikh 29.08.2013; (i) Satu deklarasi bahawa Defendan-Defendan adalah secara sendiri bertanggungjawab dan menangggung segala kos, kerugian dan tuntutan atau sebaliknya yang diakibatkan oleh sebarang tindakan, perlantikan dan transaksi-transaksi syarikat Plaintif yang dilakukan oleh Defendan-Defendan selepas jam 3.00pm 29.08.2013 bagi pihak dan/atau atas nama syarikat Plaintif; (j) Satu deklarasi bahawa syarikat Plaintif adalah tidak bertanggungan dan/atau bertanggungjawab dalam apa jua cara sekalipun terhadap sebarang tindakan, perlantikan dan transaksi-transaksi syarikat Plaintif yang dilakukan oleh Defenda-Defendan bagi pihak dan/atau atas nama syarikat Plaintif selepas jam 3.00pm 29.08.2013; (k) Satu perintah gantirugi teladan dan gantirugi teruk ("aggravated damages") diberikan terhadap Defendan-Defendan; (l) Satu perintah membenarkan syarikat Plaintif secara serta-merta samaada melalui agen-agen, pekerja-pekerja Plaintif dan/atau sebaliknya bagi mendapat akses penuh kepada premis perniagaan Plaintif yang beralamat di Blok 12, Lot 5, 2nd Floor, Bandar Indah, Mile 4, North Road, Sandakan Sabah, Malaysia atau mana-mana premis perniagaan/operasi syarikat Plaintif yang lain tanpa sebarang halangan daripada Defendan-Defendan mahupun agen-agen, pekerja-pekerja Defendan-Defendan; (m) Satu perintah bahawa Defendan-Defendan secara berasingan mendeposkan satu afidavit berkenaan dengan senarai penuh kesemua aset milikan syarikat Plaintif termasuk dan tidak terhad kepada kesemua dokumen milikan plaintif yang samaada berada dalam pengetahuan, milikan dan pegangan Defendan-Defendan, 7 hari dari tarikh selepas perintah ini.
