The Company refers to the advertisement of winding up petition appearing in the The Sun newspaper on Monday, 2 September 2013 pertaining to the winding up petition on MAEMODE (Johor Bahru High Court, Winding Up No. 28-195-08/2013) and wish to announce that the details of the said winding up petition are as follows :- (1) Date of Presentation of Winding Up Petition and Date Winding Up Petition was served. The Board of Directors of the Company wishes to announce that the winding up petition against MAEMODE was presented via Johor Bahru High Court Winding Up No. 28-195-08/2013 on 19 August 2013 by IFS Capital (Malaysia) Sdn Bhd (“the Petitioner”) and a copy was served to the Company on 29 August 2013. The hearing date for the winding up petition is fixed on 30 September 2013. (2) The particulars of the claim under the winding up petition, including the amount claimed for and the interest rate The Petitioner is alleging that the Company is indebted to the Petitioner for the total sum of RM10,427,147.94 based on the revised factoring charge of 0.50% flat on invoice value and revised initial payment charge of 9.00% per annum as at 08.07.2013 together with administrative charge of 1.00% per month on invoices which have been overdue for more than 120 days from the date of disbursement for the invoices. (3) Details of the default or circumstances leading to the filing of the winding up petition against the Company The circumstances leading to the filing of the winding up petition against the Company was due to the fact that the Company, as the Corporate Guarantor, has failed to settle the total outstanding amount claimed by the Plaintiff for the debt owing by Matromatic Handling Systems (M) Sdn Bhd, a subsidiary of the Company. (4) The financial and operational impact of the winding up petition on the Group The winding up petition will not have any additional financial and operational impact on the Group. (5) The expected losses, if any, arising from the winding up petition The Company is not expected to incur any further loss arising from the winding up petition. (6) Steps taken and proposed to be taken in respect of the winding up petition The Company is seeking the necessary legal advice to resolve and/or defend against this matter. Further announcement on the development of the above matter will be made to Bursa Malaysia Securities Berhad in due course. This announcement is dated 4 September 2013.
