Description	Mudajaya Group Berhad ("Mudajaya" Or "The Company") Acquisition Of Subsidiaries - Active Flora Sdn. Bhd. and Positive Range Sdn. Bhd.
The Board of Directors of Mudajaya is pleased to announce that MJC Management Services. Sdn Bhd. ("MMSB"), a wholly-owned subsidiary of Mudajaya Corporation Berhad (“MCB”), which in turn is a wholly-owned subsidiary of the Company, has acquired the total issued and paid-up capital of Active Flora Sdn. Bhd. ("AFSB") and Positive Range Sdn. Bhd. ("PRSB") for a cash consideration of RM7,500,000.00 for each respective company (“the Acquisitions”). The Acquisitions resulted in AFSB and PRSB becoming wholly-owned subsidiaries of MMSB, which in turn wholly-owned subsidiaries of MCB, and in turn wholly-owned subsidiaries of Mudajaya. AFSB was incorporated on 28 April 2011 with authorised share capital of RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each while the issued and paid-up share capital is RM10.00 comprising 10 ordinary shares of RM1.00 each. PRSB was incorporated on 31 March 2010 with authorised share capital of RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each while the issued and paid-up share capital is RM1,000.00 comprising 1,000 ordinary shares of RM1.00 each. AFSB and PRSB are currently involved in the development of renewable energy projects. The Acquisitions are not subject to any approval from the shareholders of the Company. The Acquisitions are expected to contribute positively towards the earnings and net assets of the Group for the current and future financial years. None of the Directors or major shareholders of Mudajaya or persons connected to them has any interest, direct or indirect, in the Acquisitions. This announcement is dated 6 September 2013.
