We wish to announce that SSP Medical Technologies Sdn Bhd ("the Plaintiff") through its solicitors, Messrs Kumar Partnership had, on 6 September 2013, served a Writ of Summons ("the Writ of Summons") on Faber Medi-Serve Sdn Bhd ("1st Defendant"), a wholly owned subsidiary of FGB and Healthtronics (M) Sdn Bhd ("2nd Defendant"), a 60% owned subsidiary of the 1st Defendant. The Writ of Summons is in respect of the Shareholders Agreement dated 21 May 2002 ("SA") and the Agreement for Services dated 28 June 2002 ("AFS") in respect of the 2nd Defendant. The Writ of Summons states that the Plaintiff sues for itself and for the benefits and on behalf of the 2nd Defendant. The Plaintiff seeks various relief including, but not limited to, the following:- (i) a declaration that the 1st Defendant is in breach of the SA; and (ii) an order to prevent the 1st Defendant from entering into any agreement for the delivery of Bio-Medical Engineering Maintenance ("BEM") and Electronic Facilities Engineering Maintenance ("EFEM") services under the New Concession Agreement ("NCA") with any party other than the 2nd Defendant. The Plaintiff also files an injunction to restrain the 1st Defendant from:- (a) acquiring and taking over the assets of the 1st Defendant under the AFS; and (b) entering into any agreement for the delivery of BEM and EFEM services under the NCA with any party other than the 2nd Defendant. Messrs Kumar Partnership informed that the matter will be called for case management on 10 September 2013. This announcement is dated 6 September 2013. | |
