We refer to our earlier announcement dated 20 August 2013 (“First Announcement”) and Bursa Malaysia Securities Berhad’s query letter dated 21 August 2013 in relation to the Court Originating Summons No. 24NCVC-1341-08/2013 from JMB against the Company. Unless otherwise stated, the defined terms used in this announcement shall carry the same meaning as defined in the First Announcement. The Company wishes to provide the following additional information: Q1 A1 The details of the default or circumstances leading to the filing of the Originating Summons against your Company. The 3-level car park of Wisma MPL is wholly-owned by MPCORP and this has been disclosed and declared in the Company’s Initial Public Offering (“IPO”) prospectus dated 30 December 1996. The Plaintiff is a Management and Maintenance Body (JMB) of Wisma MPL established under the Building and Common Property (Maintenance and Management) Act 2007 concerning the maintenance and management of common property of Wisma MPL. Based on legal advice, JMB has no locus standi on the matters stated in the Company’s announcement dated 20 August 2013. Q2 A2 To explain the relationship of JMB being the Management and Maintenance Body of Wisma MPL with MPCORP. Wisma MPL is an office complex comprising a 19-level office tower, 4-level retail podium and 3-level Car Park. The 19-level office tower and 3-level Car Park are wholly-owned by the Company. MPCORP owned 75,372 sq. ft of retail podium, while the remaining 66,045 sq. ft. of retail podium owned by private individuals. JMB is a body established under the Building and Common Property (Maintenance and Management) Act 2007 on 5 April 2008 to undertake the maintenance and management of the common property in Wisma MPL. The JMB comprise the developer and the purchasers of Wisma MPL. Q3 A3 The amount of monies or income derived from the operation of the Car Parks since 5 April 2008 until to-date and the impact to the Company in the event of lost of ownership of the Car Park. The Company is unable to measure the impact in the event of lost of ownership of the Car Parks until further particulars are furnished by the Plaintiff in the suit. However, the Company will do its best to mitigate the losses by taking appropriate steps to counter-claim any damages and losses from the third party or parties and be indemnified for any losses arising out of the loss of ownership of the Car Parks. We refer to the announcement dated 14 May 2013 wherein it was announced that Octagon, OGPC Holdings and the OGPC Shareholders have on 14 May 2013 entered into an Agreement to facilitate the proposed corporate restructuring of Octagon. Unless otherwise defined, the definitions set out in the said announcement shall apply herein. In relation thereto, the Board of Directors of Octagon wishes to announce that the Parties have mutually agreed on even date to extend the Expiry Date of the Agreement for a period of sixty (60) days from the date hereof.   This announcement is dated 22 August 2013.
