| Outcome of Meeting | YA HORNG ELECTRONIC (M) BERHAD (“YHE” or the “Company”) PROPOSED SELECTIVE CAPITAL REDUCTION AND REPAYMENT EXERCISE UNDER SECTION 64 OF THE COMPANIES ACT, 1965 (“PROPOSED SCR”) The Board of Directors of YHE wishes to announce that the shareholders of the Company have approved the special resolution in relation to the Proposed SCR at the Extraordinary General Meeting (“EGM”) of the Company held today. The special resolution which was tabled at the EGM in respect of the Proposed SCR is required to be approved by at least 50% in number of shareholders and 75% in value to the votes attached to the shares held by the entitled shareholders who are entitled to vote either in person or by proxy on the special resolution at the EGM. Further, the value of votes cast against the special resolution to approve the Proposed SCR at the EGM should not be more than 10% of the votes attached to all shares held by the entitled shareholders of the total voting shares of YHE. Details of the result of the poll voting on the special resolution in relation to the Proposed SCR are set out below:-
The application to the High Court of Malaya to obtain the grant of an order confirming the Proposed SCR pursuant to Section 64 of the Companies Act, 1965 will be made in due course and the announcement pertaining to the same will be made accordingly. This announcement is dated 23 August 2013.
