The Board of Directors of PETONE (“Board”) wishes to announce that PETONE, had on 27 August 2013, agreed to the settlement arrangement with RHB Investment Bank Berhad (“RHB Bank”) and RHB Bank (L) Ltd (“RHB Labuan”) for the full and final settlement of the total debt owing by PETONE and ADSB to RHB Bank and RHB Labuan ("Settlement Arrangement). Under the Settlement Arrangement, both RHB Bank and RHB Labuan will accept a total cash settlement sum of RM6.5 million in return for the following: (i) to discharge and release PETONE from the Bridging Loan Facility owing to RHB Bank; (v) RHB Labuan reserves all rights to continue with legal proceedings to claim/recover the shortfall under the Term Loan Facility, after receipt of the aforesaid RM6.5 million and the proceeds from the sale of the vessel, MT Taurus, against the individual guarantors of ADSB, namely Mr Lim Kian Boon and Encik Ahmad Akmal Bin Hamzah. The Settlement Arrangement is also subject to the following terms and conditions: (i) a consent judgement/order to be entered in Civil Suit No. 22NCC-1577-10/2012 (“Civil Suit”) at the Kuala Lumpur High Court between RHB Investment Bank Berhad (“RHB Investment”) as the Plaintiff and all of the Defendants, namely, ADSB as borrower, PETONE as corporate guarantor and both Mr Lim Kian Boon and Encik Ahmad Akmal Bin Hamzah as individual guarantors in respect of RHB Investment Bank’s claims (“Court Judgement”). RHB Investment will not execute the Court Judgement for a period of six (6) months from the date of entry of the Court Judgement; (ii) full receipt of cash payment of RM6.5 million by RHB Bank not later than six (6) months from the date of the entry of the aforesaid Consent Judgement; (iii) signing and execution of a debt settlement agreement (“DSA”) in the form and substance acceptable to RHB Bank and RHB Labuan; and (iv) all legal fees, costs and expenses incurred in relation to the Civil Suit, and the DSA shall be borne by PETONE. The completion of Settlement Arrangement is expected to reduce gearing, as well as increase the net assets per share of the Group as a result of the waiver of debt by RHB Bank and RHB Labuan of approximately RM42.32 million. Further developments of the above matter as well as the execution of the DSA will be announced on Bursa Malaysia Securities Berhad in due course. This announcement is dated 27 August 2013. | |
