ORDER FROM THE ARBITRAL TRIBUNAL, INDIA (“ORDER”)

We refer to our announcements dated 22 November 2006, 5 March 2007, 10 April 2007, 3 August 2010, 18 February 2011 and 18 October 2012 and the summary below:

1. On 9 April 2007, Dijaya-Malind JV (Mauritius) Limited (“DMML”) and Dijaya-Malind Properties (India) Private Limited (“DMPPL”), both then indirect subsidiaries of Tropicana and Starlite Global Enterprise (India) Limited (“SGEIL”) had entered into a Deed of Novation cum Joint Development Agreement (“Joint Development Agreement”), to undertake the development of SGEIL’s land measuring approximately 25.4 acres in Hyderabad, Andhra Pradesh, India;

2. Due to the breach of the terms in the Joint Development Agreement by SGEIL, a Notice of Termination was issued to SGEIL on 3 August 2010 to terminate the Joint Development Agreement and to seek for the return of the refundable deposit as well as damages suffered by DMML and DMPPL (“Claim”). As SGEIL did not return the refundable deposit of Rs127,080,000 (approximately RM9,338,000) and failed to pay the damages within the stipulated thirty (30) days period from the date of Notice of Termination, a Notice of Arbitration was issued pursuant to the terms of the Joint Development Agreement to SGEIL on 11 February 2011;

3. On 24 April 2012, DMPPL and DMML filed a claim petition to seek the return of the refundable deposit as a result of the termination of the Joint Development Agreement and to claim for damages suffered by DMML and DMPPL arising from the breach of the Joint Development Agreement by SGEIL, which was counter-claimed by SGEIL (“Arbitration Proceedings”). The first arbitration hearing was then fixed on 21 July 2012;

4. On 21 July 2012, the Arbitral Tribunal, India (“Tribunal”) pointed out that SGEIL has added Tropicana as a respondent to the counter claim in the Arbitration Proceedings without the permission of the Tribunal and Tropicana’s name was therefore deleted. The Tribunal directed SGEIL to file an application for adding Tropicana as a respondent.

We wish to inform that Tropicana has on 26 August 2013 received an order made by the Tribunal dated 28 July 2013 to add the Company as a party to the Arbitration Proceedings between DMPPL, DMML and SGEIL (“Order”).

Our legal counsel opines that the Order is wrong in law as:

(i) Tropicana was not a party to the Joint Development Agreement;

(ii) In the absence of any arbitration agreement signed between Tropicana and SGEIL, Tropicana cannot be made a party to the Arbitration Proceedings;

(iii) The Tribunal is not empowered to add Tropicana as a party.

The parties to the Joint Development Agreement are DMPPL and DMML which had, as announced on 18 October 2012, ceased to be the indirect subsidiaries of the Company on even date.

In view of the above, Tropicana has on 27 August 2013 filed an appeal to the civil court against the Order.

The Order does not have any financial implication and operational impact on the Company as the Order was only to add Tropicana as a party to the Arbitration Proceedings.

We shall make the necessary announcement in due course on any further development.
