We refer to the Company’s announcements dated 7 and 21 June 2013 in relation to the Application (“Announcements”). Unless otherwise stated, abbreviations and definitions used throughout this announcement shall be the same as those previously defined in the Announcements. On behalf of the Board of Directors of MAAG, TA Securities Holdings Berhad wishes to announce that Bursa Securities has, vide its letter dated 1 August 2013, granted an extension of time of up to 30 November 2013 for MAAG to submit a regularisation plan to Bursa Securities (“Extension of Time”). Bursa Securities has decided to grant the Extension of Time after taking into consideration, on amongst others, the following: (i) the latest consolidated financial position of MAAG and its group of companies ("MAAG Group") including its consolidated shareholders' equity, net assets and gearing ratio positions; (ii) the future receipts of the balance of cash proceeds from the disposal of Malaysia Assurance Alliance Berhad and other related entities following the proposed settlement on the amount receivable by MAAG as announced on 24 July 2013; and (iii) the latest regulatory development vis- -vis the Islamic Financial Services Act, 2013 which came into effect on 1 July 2013, which governs the MAAG's core business activities. MAAG is also required to provide detailed updates on the status of the submission of its regularisation plan via its monthly announcements vis- -vis the justifications for an Extension of Time as announced on 11 June 2013. The Extension of Time is without prejudice to Bursa Securities' right to proceed to suspend the trading of the securities of MAAG and to de-list MAAG in the event: (i) MAAG fails to submit the regularisation plan to the regulatory authorities on or before 30 November 2013; (ii) MAAG fails to obtain the approval from any of the regulatory authorities necessary for the implementation of its regularisation plan; or (iii) MAAG fails to implement its regularisation plan within the time frame or extended time frames stipulated by Bursa Securities. Upon occurrence of any of the events set out in (i) to (iii) above, Bursa Securities shall suspend the trading of the listed securities of MAAG upon the expiry of five (5) market days from the date MAAG is notified by Bursa Securities and de-list MAAG, subject to the MAAG's right to appeal against the delisting.
