INTRODUCTION The Board of Directors of Manulife is pleased to announce that its wholly-owned subsidiary, Manulife Insurance Berhad (“MIB”) had on 13 June 2013 entered into Bancassurance Agreement (“the Agreement”) with Alliance Bank Malaysia Berhad (“the Bank”) subject to the terms and conditions as stated in the agreement. DETAILS OF THE AGREEMENT The Agreement is a ten (10) year bancassurance relationship in Malaysia (“Bancassurance Partnership”) to sell, market and promote Life Insurance Products developed by MIB, as the Bank’s preferred provider for the Bank in respect of Life Insurance Products, to the Bank’s customers. Pursuant to the Agreement, MIB will pay the Bank a total fee of Ringgit Malaysia seventy million (RM70,000,000/-) over the ten (10) years duration of the bancassurance relationship. FINANCIAL EFFECTS The Agreement is expected to contribute positively to the future earnings, net assets per share and gearing of Manulife Group for the duration of the Bancassurance Partnership. The Agreement will not have any effect on the share capital and substantial shareholders’ shareholding of Manulife. DIRECTORS’ AND/OR SUBSTANTIAL SHAREHOLDERS’ INTEREST None of the Directors and/or substantial shareholders or any person connected to the Directors and/or substantial shareholders of Manulife has any interest, either direct or indirect in the Agreement. DIRECTORS’ STATEMENT The Board of Directors of Manulife is of the opinion that the Agreement is in the ordinary course of business and of the best interests of the Manulife Group.
