Star Publications (Malaysia) Berhad is pleased to announce that the Company has today acquired two (2) ordinary shares of RM1.00 each representing 100% equity interest in Eighth Power Sdn Bhd for a total cash consideration of RM2.00 only (“the Acquisition”). Eighth Power Sdn Bhd was incorporated on 7 February 2013 under the Malaysian Companies Act 1965 as a private company limited by shares, having an authorized share capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each, of which two (2) ordinary shares of RM1.00 each have been issued and fully paid-up. Presently, Eighth Power Sdn Bhd is a dormant company. The intended principal activity of Eighth Power Sdn Bhd is to invest in high growth technology-based start-ups/industries. The Acquisition will not have any significant effect on the earnings or net assets per share of the Company for the financial year ending 31 December 2013. None of the Directors or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the Acquisition. This announcement is dated 15 April 2013. | |
