Pursuant to Chapter 9.19(23) of Bursa Malaysia Securities Berhad's Main Market Listing Requirements, Felda Global Ventures Holdings Berhad (“FGV”) wishes to announce that Felda Global Ventures Downstream Sdn Bhd, a wholly-owned subsidiary of FGV, has on 17 April 2013, incorporated a wholly-owned subsidiary known as FGV Biotechnologies Sdn Bhd ("FGV Bio”) in Malaysia. The principal activity of FGV Bio is to carry out and undertake the business of all kinds of production of biodiesel activities and to venture into biodiesel business. The authorised share capital of FGV Bio is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each and the initial paid-up capital of FGV Bio is RM2.00 divided into 2 ordinary shares of RM1.00 each. The acquisition will not have any material effect on the net assets per share and earnings per share, as well as the gearing of FGV Group of companies for the financial year ending 31 December 2013.
