All definitions used herein shall have the same meanings as the words and expressions defined in the Definitions section of the Independent Advice Circular to the holders of the Offer Shares and the Offer Warrants (“Holders”) dated 22 March 2013 (“IAC”), except where the context otherwise requires or where otherwise defined herein. We refer to the announcements on 6 February 2013, 21 February 2013, 27 February 2013, 28 February 2013, 14 March 2013 in relation to the Offer and 11 April 2013 in relation to the notice of the Second Revised Offer wherein: (i) the Share Offer Price had been revised from RM1.70 per Offer Share to RM1.775 per Offer Share ("Revised Share Offer Price"); and (ii) the Warrant Offer Price had been revised from RM0.70 per Offer Warrant to RM0.775 per Offer Warrant ("Revised Warrant Offer Price"). The Board wishes to announce that, the Independent Adviser, AFFIN Investment, had advised the following: (i) The Revised Share Offer Price translates to a discount of between 27.55% and 44.53% to the valuation range based on the adjusted NA per Share of RM2.45 to RM3.20 per MBfH Share(compared to the discount of between 30.61% and 46.88% to the adjusted NA per Share of RM2.45 to RM3.20 per MBfH Share pursuant to the Share Offer Price). (ii) The Revised Warrant Offer Price of RM0.775 is derived by reference to the Revised Share Offer Price of RM1.775 less the exercise price of the Warrants of RM1.00. In this regard, the Revised Share Offer Price of RM1.775 is below the derived range of valuation based on the adjusted NA per Share of RM2.45 to RM3.20 per MBfH Share. As such, pursuant to Practice Note 15 of the Code, the Second Revised Offer for the Offer Shares and the Offer Warrants are not fair. Notwithstanding the above, AFFIN Investment is of the view that the Second Revised Offer for the Offer Shares and the Offer Warrants are reasonable after taking into consideration the factors set out in the IAL dated 22 March 2013.Accordingly, their comments, opinions and recommendation as contained in the IAL remain unchanged and the Holders are recommended to ACCEPT the Second Revised Offer. The Board (save for the Interested Directors) CONCURS with the recommendation of AFFIN Investment. Accordingly, the Board’s (save for the Interested Directors) comments, opinions and recommendation as contained in the IAC remain unchanged. This announcement is dated 16 April 2013. Reference is made to the announcements dated 13 December 2012 and 19 December 2012 in relation to the proposed joint venture between JPH, Kaidi and Sanjung Merpati Sdn Bhd (“SMSB”) to invest in a 2 x 600 Megawatt Coal-Fired Thermal Plant (“Proposed Initial Joint Venture”). On behalf of the Board of Directors of JRB (“Board”), AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that JAKS Pacific Power Limited (“JPP”) (a wholly-owned subsidiary of JPH which in turn is a wholly-owned subsidiary of JRB) and SMSB had on 15 April 2013, mutually agreed to terminate the subscription agreement entered on 12 December 2012 whereby SMSB was to subscribe for 20 ordinary shares of HKD1.00 each in JPP (“JPP Share”) (“SMSB Subscription Agreement”). Pursuant to the termination of the SMSB Subscription Agreement, the following agreements had been entered into on even date to facilitate the Proposed Joint Venture between JPH and Kaidi under a 60:40 shareholding structure:- (a) subscription agreement between JPP and Kaidi for Kaidi to subscribe for 80 JPP Shares at the subscription price of HKD1.00 per JPP Share (“Kaidi Subscription Agreement”); and (b) shareholders agreement (“JPP SHA”) and supplemental shareholders agreement (“Supplemental JPP SHA”) between JPH, Kaidi and JPP to regulate their proposed relationship inter se as shareholders of JPP as well as certain other matters relating to the management of JPP and also to govern their relationship inter se in respect of matters related to JAKS Hai Duong Power Company Limited (“JHDP”). Accordingly, the following parties had also on 15 April 2013, mutually agreed to terminate the following agreements that were entered to facilitate the Proposed Initial Joint Venture:- (a) JPP and Kaidi in respect of the subscription agreement dated 12 December 2012 for Kaidi to subscribe for 80 JPP Shares subject to JPP and Kaidi to re-enter into a new subscription agreement on even date; and (b) JPP, Kaidi, SMSB and JPH in respect of the shareholders agreement dated 12 December 2012 and the supplemental shareholders agreement dated 19 December 2012. Further to the announcements made by the Company on 15 October 2008 and 28 September 2010 pertaining to the subject matter, MRB wishes to announce that the Court of Appeal has dismissed Azizan Bin Osman’s (the Plaintiff) appeal holding that the Plaintiff had no substantive locus standi and held that the quarry works carried out by K.S. Chin Minerals Sdn. Bhd. (“KSChin”), a wholly-owned subsidiary of the Company, located at Mukim Singkir, Daerah Yan, Kedah was not illegal. Accordingly, KSChin is entitled to continue with the quarry operations as the same is not illegal. This announcement is dated 16 April 2013.
