| Description | MULTIPLE PROPOSALS The Board of Directors of Ann Joo Resources Berhad ("AJR") is proposing to undertake the following proposals: (a) Proposed renewal of existing shareholders’ mandate for Recurrent Related Party Transactions (RRPT)and new shareholders' mandate for additional RRPT of a revenue or trading nature.(“Proposed Shareholders’ Mandate”). (b)Proposed renewal of authorisation for AJR to purchase its own shares up to 10% of the issued and paid-up capital (“Proposed Share Buyback”). (hereinafter collectively referred to as the “Proposals”). The Proposals will be tabled for the shareholders’ consideration at the forthcoming Annual General Meeting. A circular to shareholders in connection with the Proposals will be issued in due course. This announcement is dated 16 April 2013. |

Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, YTL Power International Berhad (“Company” or “YTL Power”) wishes to announce the following:- (I) YTL Infrastructure Limited, a wholly-owned subsidiary of the Company, acquired 1 ordinary share of the par value US$1.00 representing the entire issued and paid-up share capital of YTL Power (Thailand) Limited (“YTL Power Thailand”) at US$1.00 in cash; (II) Enterprise Laundry Services Limited (“Enterprise Laundry Services”) was incorporated in England and Wales on 15 April 2013 as a wholly-owned subsidiary of Wessex Water Enterprises Limited (an indirect wholly-owned subsidiary of the Company). (collectively, the “Acquisitions”). As a result of the Acquisitions, YTL Power Thailand and Enterprise Laundry Services have become indirect wholly-owned subsidiaries of YTL Power. YTL Power Thailand was incorporated on 12 April 2013 in the Cayman Islands with an authorised share capital of US$50,000.00 comprising 50,000 shares of US$1.00 each. YTL Power Thailand will be principally involved in investment holding. Enterprise Laundry Services was incorporated with an issued share capital of GBP100 comprising 100 ordinary shares of the nominal value of GBP1 each. Enterprise Laundry Services is intended to be principally involved in the provision of laundry services. The Acquisitions are not expected to have any material effect on the earnings, net assets and gearing of the YTL Power Group for the current financial year. None of the Directors or major shareholders of the Company or persons connected with them has any interest, direct or indirect in the Acquisitions. | |
