| Description | SERSOL BERHAD (FORMERLY KNOWN AS SERSOL TECHNOLOGIES BERHAD) (“SERSOL” OR THE “COMPANY”) RENOUNCEABLE RIGHTS ISSUE OF 96,351,000 NEW ORDINARY SHARES OF RM0.10 EACH IN SERSOL (“SERSOL SHARES”) (“RIGHTS SHARES”), TOGETHER WITH 96,351,000 FREE DETACHABLE NEW WARRANTS (“WARRANTS”) ON THE BASIS OF ONE (1) RIGHTS SHARE TOGETHER WITH ONE (1) WARRANT FOR EVERY ONE (1) EXISTING SERSOL SHARE HELD AT 5.00 P.M. ON 29 MARCH 2013 (“RIGHTS ISSUE OF SHARES WITH WARRANTS”) | ||||||||||||||||||
We refer to the announcements made on 9 November 2012, 12 November 2012, 27 November 2012, 18 January 2013, 21 January 2013, 7 February 2013, 25 February 2013, 15 March 2013 and 27 March 2013 in relation to the Rights Issue of Shares with Warrants (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.
On behalf of the Board, TA Securities wishes to announce that as at the close of acceptance, excess application and payment for the Rights Issue of Shares with Warrants at 5.00 p.m. on 15 April 2013 (“Closing Date”), the total valid acceptances and excess applications received for the Rights Issue of Shares with Warrants was for 140,971,737 Rights Shares with Warrants, representing approximately 146.31% of the Rights Shares with Warrants available for acceptances under the Rights Issue of Shares with Warrants, which represents an over-subscription rate of 46.31%.
The details of valid acceptances and excess applications received as at the Closing Date are as follows:
The Board has applied the following basis in allocating the excess Rights Shares with Warrants, in accordance with the Abridged Prospectus dated 29 March 2013: (i) firstly, to minimise the incidence of odd lots; (ii) secondly, on the pro-rata basis to the Entitled Shareholders who have applied for the excess Rights Shares with Warrants, taking into consideration their respective shareholdings in the Company as at the Entitlement Date on a board lot basis;
(iii) thirdly, on a pro-rata basis to the Entitled Shareholders who have applied for excess Rights Shares with Warrants, taking into consideration the quantum of their respective excess application; and
(iv) fourthly, on a pro-rata basis to transferees and/or renouncees who have applied for excess Rights Shares with Warrants, taking into consideration the quantum of their respective excess application.
The Rights Shares with Warrants are expected to be listed and quoted on the ACE Market of Bursa Securities on 29 April 2013.
