We refer to the announcements made on 21 February 2013 (“Initial Announcement”), 25 February 2013, 26 February 2013, 7 March 2013, 22 March 2013, 2 April 2013 and 11 April 2013 in relation to the Proposals (collectively referred to as “Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein. This announcement should be read in conjunction with the Announcements.
On behalf of the Board, TA Securities wishes to announce that WHSB had on 17 April 2013 notified the Board that the Proposed Exemption which was announced on 21 February 2013 shall be revised and only for the subscription of the Rights Shares in the event that the equity interest of WHSB in AMEDIA increases to more than thirty-three per centum (33%) after the Proposed Rights Issue of Shares with Warrants. As such, the Proposed Exemption for the exercise of Warrants which may result in the shareholding of WHSB in AMEDIA to increase to above thirty-three per centum (33%) or increase by more than two per centum (2%) in any six (6) months period shall be excluded.
Save as disclosed above, all other details as contained in the Initial Announcement relating to the Proposed Exemption and the other proposals, namely the Proposed Rights Issue of Shares with Warrants, Proposed Increase in Authorised Share Capital and Proposed Amendment remain unchanged.
