The Board of Directors of the Company (“Board”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had vide its letter dated 10 July 2013 granted an extension of time from 24 May 2013 until 31 October 2013 (instead of until the completion of the Proposed SCR as applied for), in relation to compliance with the public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”). The Company’s public shareholding spread as at 28 June 2013 stands at 18.38% and therefore, this is not in compliance with Paragraph 8.02 of the Listing Requirements which states that a listed issuer must ensure that at least 25% of its total listed shares (excluding treasury shares) are in the hands of public shareholders. As at the date of this announcement, the Company has not formulated any rectification plan pending the outcome of the proposed selective capital reduction and repayment exercise under Section 64 of the Companies Act, 1965 to be undertaken by TAS (“Proposed SCR”) which was announced on 5 April 2013 and 19 April 2013. The Proposed SCR is still pending the approval/consents from the relevant authorities and the shareholders of TAS at the extraordinary general meeting to be convened.
