The Board of Directors of Sumatec Resources Berhad (“Sumatec” or “the Company”) wishes to announce that Sumatec had 9 July 2013, received approval from the Ministry of Justice of the Republic of Kazakhstan for the incorporation of a wholly-owned subsidiary known as Sumatec Oil & Gas Limited Liability Partnership (“Sumatec Oil & Gas”) incorporated in Kazakhstan.

The Registered Charter Capital of Sumatec Oil & Gas is KZT 173,100, equivalent to RM3,577.00. Its principal activity is to engage in exploraton, production, operations, processing of oil and gas.

The incorporation of Sumatec Oil & Gas is in line with the Sumatec Group's strategy to expand its business in the oil and gas producing field.

The incorporation of Sumatec Oil & Gas shall not have any effect on the issued and paid up capital of Sumatec and no material effect on net tangible assets, gearing and earnings of the Group for the financial year ending 31 December 2013. However, barring any unforeseen circumstances, it is expected to have a positive impact on the consolidated earnings of the Group in the future.

The incorporation of new subsidiary is not subject to any approvals from regulatory bodies or the shareholders of Sumatec.

The Directors of Sumatec are of the opinion that the above incorporation are in the best interest of Sumatec.

None of the Directors or substantial shareholders of Sumatec, or persons connected to such Directors or substantial shareholders has any interest, direct or indirect, in the above transaction.
