PROPOSED SELECTIVE CAPITAL REDUCTION AND REPAYMENT EXERCISE UNDER SECTION 64 OF THE COMPANIES ACT, 1965 (“PROPOSED SCR”)

Reference is made to the Company’s announcements dated 5 April 2013, 19 April 2013 and 19 June 2013 in relation to the Proposed SCR. 

On behalf of the Board of Directors of TAS, AFFIN Investment Bank Berhad wishes to announce that the Securities Commission Malaysia (“SC”) had, vide its letter dated 9 July 2013, approved the application submitted to the SC on 19 June 2013 for the exemption under Paragraph 1.1 of Practice Note 44 of the Malaysian Code on Take-Overs and Mergers, 2010 (“Code”) in relation to the Proposed SCR (“Proposed Exemption”).  

The approval on the Proposed Exemption is subject to Golden Power Holdings Sdn Bhd and its persons acting in concert, namely, Toh Chee Yeong, Toh Chee Lit, Hong Kerk Ai and Toh Thim Leong (collectively referred to as the “Joint Applicants”) complying with the requirements under Paragraph 1.2 of Practice Note 44 of the Code, including: 

(a) To obtain the SC’s consent for: 

(i) a circular to be despatched to the shareholders of TAS; 

(ii) an explanatory statement containing all information and statements specified under section 12 and the First Schedule of the Code; and  

(iii) an independent advice circular containing all information and statements specified under section 15 and the Second Schedule of the Code; 

(b) All interested parties, including the Joint Applicants and their persons acting in concert, must abstain from voting on the Proposed SCR; and 

(c) The Proposed SCR must comply with the provisions of the Code and the Practice Notes.
