Further to the announcement dated 13 May 2013, the Board of Directors of SAAG wishes to announce that the Company has on even date received the following documents :- a) a copy of the sealed Petition dated 27 June 2013; b) a copy of the affidavit verifying petition affirmed by Lili Lim dated1st July 2013 c) a copy of the Affidavit Verfying Petition affirmed by Christina Lim May Ling on 1 July 2013 by way of service from Ganpartnership, the solicitors acting for the Petitioner. The Company owes the Petitioner the following sums :- a) RM151,780,028.86 together with interest at the rate of 3.5% per annum on RM151,780,028.86 from 1.10.2012 until the full settlement; b) RM 32, 767,336.87 together with interest at the rate of 3.5% per annum on RM32, 767,336.87 from 1.10.2012 until the full settlement;; and c) Costs of RM1,700.00 The SAAG Group on 12 October 2012 has announced default under Practice Note 1 (“PN 1”) and further on 17 October 2012 default under Practice Note 17 (“PN 17”) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad. This has arisen as the Group is unable to raise the RM100 million as proposed in the Circular dated 27th June 2012. The Company therefore has defaulted on its payments to creditors and informed the Petitioner also of its inability to proceed with the debt restructure exercise and hence has been wound up by Ambank (M) Bhd on 21 June 2013. The matter will be handled by the Liquidator of the Company. The Petition is fixed for case management on 18 July 2013 and fixed for hearing on 30 August 2013. The Company cannot remedy as it has been wound up as announced on 27 June 2013. As such, the Company is not in a position to prepare a defence to avoid eventualities which arises from the said Petition. This announcement is dated 10 July 2013.
