The Board of Directors of Mudajaya Group Berhad ("Mudajaya") is pleased to announce that Mudajaya Corporation Berhad ("MCB"), its wholly-owned subsidiary, has on 8 January 2013 entered into a Memorandum of Understanding (“MOU”) with the Government of Mandalay (Myanmar Region), represented by the Minister for Electricity and Industry, Mandalay Region Government (hereinafter referred to as "GOVM") and Koon Yew Yin ("KYY"), a Malaysian, with the intention to facilitate the setting up of Coal-Fired Independent Power Plant and Solar-Powered Independent Power Plant projects in the region of Mandalay and other suitable area (hereinafter referred to as "Projects"). MCB and KYY are partners in this Projects and it is the intention of both partners to establish a joint-venture, using a special purpose vehicle company ("SPV"), with a 70% shareholding to be held by MCB and/or its nominee(s) and 30% shareholding to be held by KYY and/or his nominee(s). It is agreed between the Parties that GOVM shall provide the full and detailed Need Statement to MCB which shall include all technical information for the setting up of the Projects. MCB will prepare a feasibility report/proposal and submit to GOVM within 9 months from the date of signing of this MOU. The MOU will expire at the end of 12 months from the date of the MOU unless an extension period is agreed by all the parties. The MOU does not have any financial impact on Mudajaya for the current financial year ending 31 December 2013. None of the Directors or major shareholders of Mudajaya or any persons connected to them have any interest, direct or indirect, in the MOU. This announcement is dated 9 January 2013. | |
