BANKING FACILITY OF RM200.0 MILLION GRANTED BY EXPORT-IMPORT BANK OF MALAYSIA BERHAD TO PINEHILL PLANTATIONS (MALAYSIA) SDN BHD

  1. The Board of Directors of PINEPAC wishes to announce that its subsidiary, Pinehill Plantations (Malaysia) Sdn Bhd ("PPM") has on 9 January 2013 accepted the Islamic Financing Facility under Term Financing-i Facility and the Overseas Project Financing-i Facility in the total amount of RM200.0 million ("the Facility") granted by Export-Import Bank Of Malaysia Berhad ("Exim Bank") for the following purposes:

    (a) To redeem 100% outstanding balance of existing financing of PPM with Bank Kerjasama Rakyat Malaysia Berhad.

    (b) To part finance the working capital requirement of the Indonesia subsidiaries of PPM to secure land titles and to develop and manage the oil palm activities in Indonesia as well as to construct a Palm Oil Mill ("POM") in Indonesia.

    (c) To part finance the proposed acquisition by PPM of the remaining 30% equity interest in Pinehill Ventures Limited.

  2. Security

    The Facility is mainly secured by:

    (a) First Party First Fixed Legal Charge over the land, oil palm estate, mill processing facilities and building erected thereon held under Lots No. 7258, 7280 and 7281 in the Mukim of Changkat Jong and Lots No. 10052 and 11501 in the Mukim of Durian Sebatang, District of Perak Hilir, Perak.

    (b) Third Party First Fixed Legal Charge over the land, oil palm estate, mill processing facilities and building erected thereon held under Lots No. 5936 and 7362 in the Mukim of Changkat Jong, District of Perak Hilir, Perak.

    (c) Corporate Guarantee from PINEPAC

  3. Directors' and/or Major Shareholders' and/or Persons Connected with a Director or Major Shareholders' Interests

None of the Directors and/or Major Shareholders of PINEPAC or persons connected to them have any interest, direct or indirect, in the Facility.
