Mega First Corporation Berhad (“MFCB”) wishes to announce that on 10 January 2013, Highland Resources Sdn Bhd (“HRSB”), an indirect 100% owned subsidiary of MFCB, has passed the special resolution to be wound-up voluntarily pursuant to Section 254(1)(b) of the Companies Act, 1965 of Malaysia. HRSB is a wholly-owned subsidiary of Gombak Land Sdn Bhd which in turn is a wholly-owned subsidiary of MFCB. HRSB has ceased operations since 1997 and has remained dormant since then. The liquidators of HRSB are Mr Onn Kien Hoe and Ms Chin Mee Shang of Crowe Horwath Advisory Sdn Bhd of Level 13A, Tower C, Megan Avenue II, No. 12 Jalan Yap Kwan Seng, 50450 Kuala Lumpur. The winding-up of HRSB will not have any material financial and operational impact on MFCB and is not expected to have any material effect on the earnings and net assets of MFCB. This announcement is dated 10 January 2013.
