1.������ Introduction The Board of Directors of Wing Tai Malaysia Berhad (‘WingTM’ or ‘the Company’) wishes to announce that Premium Strategy (M) Sdn. Bhd.(‘PS’), a wholly-owned subsidiary of WingTM had on 20 November 2012 acquired one (1) ordinary share of USD1.00, representing 100% of the total equity interest in the capital of Tribridge International Limited (‘Tribridge’) for a total purchase consideration of USD1.00 only. Subsequently, Tribridge had on the same day acquired one (1) ordinary share of SGD1.00 each, representing 100% of the total equity interest in the capital of Hamden Pte. Ltd. (“Hamden”) for a total purchase consideration of SGD1.00. The acquisition of Tribridge and Hamden are collectively known as “the Acquisitions”. Following the above Acquisitions, Tribridge and Hamden became indirect wholly-owned subsidiaries of WingTM. 2. �� Information on Tribridge and Hamden Tribridge was incorporated under BVI Business Companies Act on 25 October 2012. The authorised share capital of Tribridge is USD1.00 representing one (1) share of USD1.00 each of which one (1) ordinary share has been issued and fully paid up. Hamden was incorporated in Singapore on 1 November 2012. The present issued and fully paid share capital of Hamden is SGD1.00 comprising one (1) ordinary share of SGD1.00 each. The intended principal activities of Tribridge and Hamden are investment holding. 3. �� Financial Effects The above Acquisitions do not have any material effects on the earnings per share, gearing and net assets per share of the WingTM as both Tribridge and Hamden are currently non-operational. 4. �� Directors' and Major Shareholders' Interests None of the directors and/or major shareholders of WingTM and/or persons connected to them, has any interests, direct or indirect in the above Acquisitions. 5.��� Statement of the Directors The Board of Directors of WingTM is of the opinion that the above Acquisitions are in the best interest of WingTM. � This announcement is dated 20 November 2012 | |
