Sime Darby Berhad (Sime Darby) wishes to announce that its indirect wholly-owned subsidiary, Sime Darby Johor Development Sdn Bhd has on 1 October 2012 acquired 2 ordinary shares of RM1.00 each, representing the entire issued and paid–up share capital of Sime Darby Property Selatan Sdn Bhd (formerly known as Intrisik Klasik Sdn Bhd) (SD Property Selatan) from Hasniza binti Wazer (1 share) and Shairah Begum binti Kadar Bashah (1 share), for a total cash consideration of RM2.00 (Acquisition). SD Property Selatan was incorporated in Malaysia on 11 November 2011 with an authorised share capital of RM100,000.00, of which 2 ordinary shares of RM1.00 each have been issued and fully paid up. The intended principal activity of SD Property Selatan is property development and asset management. Pursuant to the Acquisition, SD Property Selatan and its following wholly-owned subsidiaries have become indirect wholly-owned subsidiaries of Sime Darby: i.��� Meridian Integrasi Sdn Bhd; ii.�� Simfoni Giro Sdn Bhd; iii.� Pelangi Motivasi Sdn Bhd; and iv.� Data Inisiatif Sdn Bhd. The Acquisition is not expected to have a material effect on the earnings or net assets of the Sime Darby Group for the financial year ending 30 June 2013. None of the directors or substantial shareholders of Sime Darby or persons connected to them has any interest, direct or indirect, in the said Acquisition. This announcement is dated 1 October 2012.
