The Board of Directors of the Company (“Board”) is pleased to announce that on 2 October 2012, its wholly-owned subsidiary, MAA Credit Berhad (“MAA Credit”), had in exercise of its power of attorney pursuant to memorandum of deposit shares dated 1 October 2009 signed with FVSB, transferred all the Security Shares to itself (“Transfer”). This forms part of the debt recovery action taken to enforce the Security Shares after FVSB had defaulted its loan (both principal and interest) due to MAA Credit. Effective on 2 October 2012, KMSB and PTKSB become 70% owned subsidiary companies of MAA Credit. KMSB and PTKSB are principally involved in the provision of tuition to students from Primary 5 to 6 and Form 1 to 6, focusing mainly on Form 3 and 5 students who are taking their PMR and SPM examinations. PTKSB operates 2 centers in Kuala Lumpur and Petaling Jaya. While KMSB operates 4 centers in Kuala Lumpur, Subang Jaya and Kepong. The Transfer is not expected to have any material effect on the earnings per share and net asset per share, gearing and share capital of the Company. There is no liability to be assumed by the Company. The Transfer is not subject to approval of the shareholders of the Company and the relevant regulatory authorities. The Board, having considered all aspects of the Transfer, is of the opinion that the Transfer is in the best interest of the Company and not detrimental to the interest of the minority shareholders. MAA Credit will hold the Security Shares for sale to interested party at an appropriate value to recover the loan. This announcement is dated 2 October 2012. | |
