Contents: 1. INTRODUCTION
The Board of Directors of IRIS Corporation Berhad ("ICB" or "the Company") wishes to announce that its 87.5% owned subsidiary company, namely IRIS Egypt, had on 21 November 2010 been placed under Members' Voluntary Winding-up (the "Winding-Up").
2. INFORMATION ON IRIS EGYPT
IRIS Egypt was incorporated in Egypt on 29 May 2008 with an authorised share capital of EGP300,000 comprising 3,000 ordinary shares of EGP100 each whilst it's issued and paid up share capital is EGP300,000 comprising 3,000 ordinary shares of EGP100 each. ICB holds 87.5% of the total shareholding whilst individual shareholder holds 12.5 % of the shareholding. IRIS Egypt was previously in the business of providing products, services, maintenance and solutions in the area of identity security documents, biometrics information technology and communication in Egypt. The member's voluntary Winding-up is part of ICB Group's continuing rationalization exercise to wind-up inactive subsidiaries.
An Extraordinary General Meeting ("EGM") was held on the 21 November 2010 and the following were decided by the shareholders unanimously:-
I. The selling of IRIS Egypt's fixed assets;
II. The shareholders approved the dissolution and liquidation of IRIS Egypt with effect from 21 November 2010;
III. Appointment of Mr. Hisham Mohamed Tawfik a Liquidator with capacity to settle all matters regarding the liquidation for IRIS Egypt;
IV. Appointment of Mr. Mofreh Eskandar as Auditor for IRIS Egypt.
3. FINANCIAL EFFECTS
The Winding-Up is not expected to have material impact on the share capital, gearing, consolidated earnings, net assets and substantial shareholders' shareholding of ICB for the financial year ending 31 December 2010.
4. RISK FACTORS AND LIABILITIES
The Board does not envisage any specific risks associated with the Winding-Up.
5. APPROVALS REQUIRED
The Winding-Up is not subject to the approval of ICB shareholders or any relevant governmental authorities.
6. DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS IN THE WINDING-UP
None of the directors and/or substantial shareholders and/or person connected to the directors or substantial shareholders of ICB (as defined in Section 122A of the Companies Act, 1965) have any interest, direct or indirect, in the Winding-Up.
7. DIRECTORS' STATEMENT
The Board, after due consideration of all aspects of the Winding-Up, is of the opinion that the Winding-Up is in the best interest of ICB group. With the above, the Board of Directors of ICB wishes to announce that the Winding-Up or liquidation of IRIS Egypt is effective from 21 November 2010.
