Ltd ("JinZhou") for an indicative purchase consideration of RM25,000,000 ("Proposed Transaction"). The purchase consideration is to be satisfied via a share swap by a group of identified SMCB shareholders of their existing shares in SMCB for the Sale Shares and the shareholders will then renounce their rights to the transfer of the Sale Shares in favour of SMCB together with the issuance of SMCB preference shares at a pricing to be determined ("Transaction Terms").
