Contents: We refer to the announcement dated 29 October 2010 in relation the Proposals.
On behalf of the Board of Directors of IFCA, OSK Investment Bank Berhad ("OSK") wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 22 November 2010 (which was received on 23 November 2010 via fax) approved IFCA's application for the following:-
(i) Listing of and quotation for up to 143,351,000 new ordinary shares of RM0.10 each ("IFCA Shares") to be issued pursuant to the Proposed Rights Issue with Warrants;
(ii) Admission to the Official List of Bursa Securities and the listing of and quotation for up to 143,351,000 Warrants to be issued pursuant to the Proposed Rights Issue with Warrants; and
(iii) Listing of and quotation for up to 143,351,000 new ordinary shares of RM0.10 each to be issued pursuant to the exercise of Warrants.
The approval by Bursa Securities for the above Proposed Rights Issue with Warrants is subject to the following conditions:-
(i) IFCA/ OSK must fully comply with the relevant provisions under the ACE Market Listing Requirements ("ACE LR") pertaining to the implementation of the Proposed Rights Issue with Warrants;
(ii) IFCA/ OSK to furnish a certified true copy of the relevant resolution passed by securities holders in the general meeting;
(iii) IFCA/ OSK must obtain all relevant approvals prior to the implementation of the Proposed Rights Issue with Warrants;
(iv) IFCA/ OSK to inform Bursa Securities upon the completion of the Proposed Rights Issue with Warrants; and
(v) IFCA/ OSK to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Rights Issue with Warrants are completed.
