(i) PIVB and Hytex have undertaken all necessary due diligence in relation to the Proposed Extension of Time;
(ii)PIVB to inform all relevant parties in relation to the RCSLS including, but not limited to the Trustee with regard to the Proposed Extension of Time, and where applicable, obtain their consents thereto;
(iii) PIVB and Hytex to obtain all other regulatory approvals for the Proposed Extension of Time, if applicable;

(v) PIVB to submit a written confirmation on compliance with the above upon issuance of the RCSLS.
