Reference is made to the announcements dated 10 March 2015, 16 March 2015, 20 April 2015 and 27 April 2015 in relation to the Proposals (“Announcements”).

Unless otherwise stated, the definitions used throughout this announcement shall have the same meaning as defined in the Announcements.

On behalf of the Board of Directors of Sunsuria, the Joint Advisers are pleased to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has vide its letter dated 25 May 2015, approved the Company’s listing application in respect of the Proposed Reinvestment. The aforesaid approval is subject to the following conditions:-

  1. Sunsuria, AmInvestment Bank and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements (“Main Market LR”) pertaining to the implementation of the Proposed Reinvestment;
  2. Sunsuria, AmInvestment Bank and RHB Investment Bank to inform Bursa Securities upon the completion of the Proposed Reinvestment;
  3. Sunsuria to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Reinvestment is completed;
  4. A certified true copy of the resolution passed by shareholders of Sunsuria at the extraordinary general meeting for the Proposed Reinvestment; and
  5. To incorporate all comments from Bursa Securities in respect of the draft circular to shareholders for the Proposals.

VERSATILE CREATIVE BERHAD ("VCB" or the "Company")

The announcement made on 28 November 2014, 5 December 2014, 23 February 2015 and 6 March 2015 on the abovementioned subject matter refer.

The Board of Directors of VCB wishes to announce that the Company’s public shareholding spread as at 25 May 2015 of 19.143% is still not in compliance with the public shareholding spread requirement pursuant to paragraph 8.02(1) of the Main  Market Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”).

In this regard, Bursa Securities had granted the Company a further extension of time of six (6) months until 3 June 2015 to comply with the public shareholding spread requirement.

The Company has taken actions to address the shortfall in the public spread which includes, inter-alia, a disposal of VCB shares by the major shareholder and private placement of 6.05% of new VCB shares by VCB.  Barring any unforeseen circumstances, the Proposed Private Placement of the balance of 3.95% placement shares is expected to be completed by the third quarter of 2015.

The Company will make the necessary announcements in relation to the status of its efforts to comply with the Public Shareholding Spread requirement in accordance with the listing requirements.
