Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Digistar wishes to announce that the Company had on 13 April 2015 acquired 200,000 ordinary shares of RM1.00 each representing 100% of the equity interest in Sakura Management Sdn Bhd (“SMSB”) for a cash consideration of RM200,000.00 only (“the Proposed Acquisition”) from Mejar (K) Datuk Wira Lee Wah Chong and Ms Lee Mely. Upon completion of the Propsoed Acquisition, SMSB will become a wholly-owned subsidiary of Digistar. INFORMATION ON SMSB SMSB is a private limited company incorporated in Malaysia on 22 May 2012. The authorised share capital of SMSB is RM400,000.00 comprising of 400,000 ordinary shares of RM1.00 each, of which RM200,000.00 comprising of 200,000 ordinary shares of RM1.00 each have been issued and fully paid-up. SMSB has not commenced any operations as at to date. The intended principal activities is property maintenance and related activities. FINANCIAL EFFECT OF THE PROPOSED ACQUISITION The Proposed Acquisition is not expected to have a material impact on the earnings of Digistar for the financial year ending 30 September 2015. INTEREST OF DIRECTORS, MAJOR SHAREHOLDERS AND/OR PERSONS CONNECTED None of the Directors and/or major shareholders of Digistar and/or persons connected to them have any interest, whether direct or indirect in the Proposed Acquisition except for: (i) Mejar (K) Datuk Wira Lee Wah Chong who is the Managing Director and major shareholder of Digistar is also a Director and shareholder of SMSB.
