Query Letter Contents We refer to your Company's announcement dated 2 April 2015, in respect of the
aforesaid matter.

In this connection, kindly furnish Bursa Malaysia Securities Berhad ("Bursa
Securities") with the following additional information for public release:-

1. Basis and justification in agreeing and arriving at the price-to-earnings
multiple ("PE Multiple") of 7.23 times over the audited PAT for the financial
year ended 31 December 2013 and to state whether the PE Multiple of 7.23 times
is comparable with any transactions of a similar nature or companies that are
involved in a similar business.
2. It is noted that one of the Conditions Precedent is that Cahya Mata Sarawak
Berhad ("CMSB") and SACOFA is to enter into an agreement for the purchase of
18,444,697 warrants of SACOFA held by the SFS on terms satisfactory to the
parties. In this regard, please provide the detailed explanation for making
such arrangement as Conditions Precedent instead of being considered
conclusively at the point of signing the SPA given that it may impact the
valuation of the Proposed Acquisition.
3. The list of the warrantholders that own the outstanding 43,471,634 warrants.
4. Basis and rationale for CMSB to undertake the Proposed Acquisition of 50%
stake in SACOFA given that there is a potential dilution in the shareholdings
should the outstanding warrants be exercised.
5. Nature of concession under the Concession Agreement dated 5 March 2002
(whether it is Built-Operate-Transfer; Built-Transfer-Operate or
Built-Own-Operate, etc.).
6. Given that the remaining concession period is only 7 years from the expiry
date, please clarify by stating whether there is any clause that allows the
Concession Agreement to be extended.
7. To provide the commentary on the financial performance for the past 3 years.

On behalf of the Board of Directors of CMSB, Kenanga Investment Bank Berhad wishes to announce the reply to item 1 of Bursa’s Queries as below:

 

We wish to highlight that there are no direct comparable precedent transactions involving companies in similar business in Malaysia.

 

We have considered and evaluated the PE Multiple and price-to-book multiple (“PB Multiple”) of the past one (1) year precedent transactions of cash acquisitions of various local companies with considerations ranging between RM50.0 million and RM350.0 million which resulted in PE Multiple and PB Multiple of an average of  15.07 times and ranges between 4.83 times and 33.33 times and an average of 1.61 times and ranges between 0.57 times and 4.40 times, respectively.

 

The Purchase Consideration represents a PE Multiple of 7.23 times and PB Multiple of 1.08 times over the audited PAT for the FYE 31 December 2013. In addition to the above evaluation and having considered the potential effects of the warrants, the Company is of the view that the Purchase Consideration is justified.

 

In addition, we have considered factors, amongst others, the remaining concession period under the concession agreement and the historical past financial performance of Sacofa in arriving at the Purchase Consideration.

The Board of Directors of Berjaya Corporation Berhad (“BCorporation”) is pleased to announce that Berjaya Myanmar Limited, Labuan (“BML”), a wholly-owned subsidiary of BCorporation, had incorporated a subsidiary under the name Berjaya Myanmar Investment Limited (“BMIL”) in Myanmar.

The authorized share capital of BMIL is USD1,000,000 comprising 1,000,000 ordinary shares of USD1.00 each (“BMIL Shares”). The issued and paid-up share capital of BMIL is USD50,000 comprising 50,000 BMIL Shares. BML had subscribed for 47,500 BMIL Shares at USD47,500. The balance of 2,500 BMIL Shares was subscribed for USD2,500 by a local Burmese investor. BMIL is now a 95%-owned subsidiary of BML.

BMIL will facilitate the business and/or project investments in Myanmar.

The above do not have any effect on the issued share capital, substantial shareholders’ shareholdings, consolidated earnings and consolidated net assets of BCorporation.

None of the Directors, substantial shareholders and persons connected with the Director or substantial shareholder of BCorporation has any interest, direct or indirect, in the subscription of the BMIL Shares.

The Board is of the opinion that the above is in the best interests of the BCorporation Group.
