We refer to our announcements dated 11 September 2014, 12 September 2014, 1 October 2014, 23 October 2014, 24 October 2014 and 17 November 2014 in relation to, amongst others, the Rights Issue of Shares with Warrants (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein. On behalf of the Board, TA Securities wishes to announce that AppAsia had on today executed a deed poll constituting the Warrants. In addition, the Company has resolved to fix the following: (i) the issue price of Rights Shares at RM0.10 each; and (ii) the exercise price of Warrants at RM0.13 each. The issue price of the Rights Shares at RM0.10 each is determined and fixed by the Board after taking into consideration the following:
(i) the theoretical ex-all price (“TEAP”) of AppAsia Shares of RM0.1879 based on the 5D-VWAP of AppAsia Shares up to and including 18 November 2014 (being the last trading date immediately preceding the price fixing date) of RM0.3336 and the exercise price of Warrants of RM0.13; (ii) a discount to the TEAP of AppAsia Shares of RM0.0879 or 46.78%; (iii) the prevailing market sentiments; (iv) the par value of AppAsia Shares of RM0.10 each; and (v) the funding requirements of the Group, details of which are set out in Section 3 of the circular to shareholders dated 24 October 2014. The exercise price of the Warrants at RM0.13 each is determined and fixed by the Board after taking into consideration the following: (i) the theoretical ex-rights price (“TERP”) of AppAsia Shares of RM0.2168 based on the 5D-VWAP of AppAsia Shares up to and inclusive of 18 November 2014 of RM0.3336; (ii) a discount to the TERP of AppAsia Shares of RM0.0868 or 40.04%; (iii) the prevailing market sentiments; and (iv) the par value of AppAsia Shares of RM0.10 each.
