The Capital Reduction and Share Consolidation comprise the following :-
(a) Capital reduction of the issued and paid-up share capital of Narra Industries Berhad (“ Narra”) via the cancellation of RM0.50 of the par value of every existing ordinary share of RM1.00 each in Narra (“Narra Share”) and thereafter
(b) Consolidation of 2 ordinary shares of RM0.50 each in Narra into 1 ordinary share of RM1.00 each in Narra (“New Narra Share”) (“Capital Reduction and Share Consolidation”)
In relation to the Capital Reduction and Share Consolidation undertaken by NARRA as a SPEEDS Corporate Exercise, Bursa Malaysia Securities Berhad would like to highlight that :
(a) on or after the Ex-date on 12 August 2014, trading of NARRA shares will be based on the newly adjusted share after the Capital Reduction and Share Consolidation of NARRA shares,
(b) on the basis of settlement taking place on or after 14 August 2014 with consolidated NARRA shares of RM1.00 each, any entitled shareholder who owns NARRA shares as at Ex-date may sell only up to the maximum NARRA shares he expects to receive after the Capital Reduction and Share Consolidation, i.e. the reduced amount, on or after the Ex-date 12 August 2014.
With the adjustments pursuant to the Capital Reduction and Share Consolidation effected on NARRA shareholders’ CDS account at the end of the Entitlement Date (“Books Closure Date”), an entitled NARRA shareholder may use the following basis to estimate the maximum number of NARRA shares that he may sell from the Ex-date until the Book Closing Date which is from 12 August 2014 until 14 August 2014.
