Unless stated otherwise, definitions used in this announcement shall carry the same meaning as defined in the announcements dated 11 July 2014 and 21 July 2014 in relation to the Proposals. On behalf of the Board, AmInvestment Bank is pleased to announce that Bursa Securities had vide its letter dated 31 July 2014, resolved to approve the:- (a) listing and quotation of 30,456,500 Bonus Shares to be issued pursuant to the Proposed Bonus Issue; and (b) listing of such number of OKA Shares, representing up to 15% of the issued and paid-up share capital of OKA (excluding treasury shares, if any), to be issued pursuant to the Proposed ESOS. The approval by Bursa Securities for the above is subject to the following conditions:- (a) OKA and AmInvestment Bank must fully comply with the relevant provisions under the Listing Requirements of Bursa Securities pertaining to the implementation of the Proposals; (b) OKA and AmInvestment Bank to inform Bursa Securities upon the completion of the Proposed Bonus Issue; (c) OKA to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue is completed; (d) OKA or AmInvestment to furnish to Bursa Securities a certified true copy of the relevant resolution passed by the shareholders in the EGM approving the Proposals; (e) OKA and AmInvestment Bank are required to make the relevant announcements pursuant to Paragraphs 6.35(2)(a) & (b) and Paragraph 6.35(4) of the Listing Requirements of Bursa Securities; (f) AmInvestment Bank is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to Paragraph 6.43(1) of the Listing Requirements of Bursa Securities and stating the effective date of the implementation together with certified true copy of the resolution passed by the shareholders in the EGM approving the Proposed ESOS; and
(g) OKA is required to furnish Bursa Securities on a quarterly basis a summary of the total number of new OKA Shares listed pursuant to the Proposed ESOS as at the end of each quarter together with a detail computation of listing fees payable. This announcement is dated 31 July 2014.
