DescriptionSCIENTEX BERHAD - CHANGE OF NAME OF SUBSIDIARIES AND DISPOSAL OF DORMANT SUBSIDIARY

Reference is made to the announcements by Scientex Berhad ("Scientex" or "the Company") on 11 November 2013, 14 November 2013, 27 January 2014 and 13 February 2014 in relation to the acquisition of 12,900,000 ordinary shares of RM1.00 each in the capital of Seacera Polyfilms Sdn Bhd ("SPSB"), representing the entire issued and paid-up share capital of SPSB for a total purchase consideration of RM39,000,000.00 by Scientex Packaging Film Sdn Bhd ("SPFSB"), a wholly-owned subsidiary of Scientex ("Seacera Acquisition").

The Board of Directors of the Company wishes to announce that subsequent to the completion of the Seacera Acquisition on 13 February 2014, Scientex Group (“the Group”) has streamlined the operations of SPSB whereby the entire business assets and operations of SPSB has been transferred to Scientex Great Wall Sdn Bhd (formerly known as GW Packaging Sdn Bhd) (“SGW”), a wholly-owned subsidiary of SPFSB as part of its internal reorganisation to house the entire consumer packaging business of the Group under SGW. This restructuring and streamlining of operations is intended to derive economies of scale and greater efficiency within operating units in the consumer packaging segment.

In accordance to the provisions of Share Sale Agreement dated 11 November 2013 (“SSA”), SPFSB is obliged to effect a name change for SPSB and refrain from using the Seacera name within 180 days from the date of completion of the Seacera Acquisition. Accordingly, SPSB shall be known as Scientex Advance Sdn Bhd with effect from 24 July 2014 in compliance with the provisions of the SSA. The wholly-owned subsidiary of SPSB, Seacera Chemicals Sdn Bhd (“SCSB”), which is presently dormant, shall be known as My Green Hometown Sdn Bhd with effect from 24 July 2014. On 31 July 2014, SPFSB has disposed off SCSB and transferred 2 ordinary shares of RM 1.00 each, representing the entire issued and paid-up capital of SCSB to unrelated third parties for a total cash consideration of RM300.00 (“Disposal”).

SCSB has an authorised capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each, of which 2 ordinary shares of RM1.00 each have been issued and fully paid-up. It has not commenced operation since its incorporation on 19 May 2006.

The Disposal is in line with Scientex's plan to streamline the Group's corporate structure by disposing off the dormant company.

None of the directors, major shareholders and persons connected with the directors or major shareholders of the Company has any interest, direct or indirect in the Disposal.

The Disposal is not expected to have any material effect on the earnings per share, net assets per share, gearing and share capital of Scientex for the financial year ending 31 July 2014.
