| Description | GRAND-FLO BERHAD (FORMERLY KNOWN AS GRAND-FLO SOLUTION BERHAD) (“GRAND-FLO” OR “THE COMPANY”) (I) PROPOSED ACQUISITION BY GRAND-FLO OF AN AGGREGATE OF 125,001 ORDINARY SHARES OF RM1.00 EACH IN INNOCERIA SDN BHD (“ISB”), REPRESENTING 50.0004% OF THE TOTAL ISSUED AND PAID-UP SHARE CAPITAL OF ISB, FOR A TOTAL CONSIDERATION OF RM15.0 MILLION TO BE SATISFIED BY A COMBINATION OF CASH AND ISSUANCE AND ALLOTMENT OF NEW ORDINARY SHARES OF RM0.10 EACH IN GRAND-FLO (“PROPOSED ACQUISITION”); AND (II) PROPOSED DIVERSIFICATION OF THE EXISTING CORE BUSINESSES OF GRAND-FLO AND ITS SUBSIDIARIES TO INCLUDE PROPERTY DEVELOPMENT (“PROPOSED DIVERSIFICATION”). (COLLECTIVELY REFERRED TO AS THE “PROPOSALS”) |
(Unless otherwise stated, all definitions and terms used in this announcement shall have the same meanings as defined in the announcement dated 25 April 2014). Reference is made to the announcements dated 25 April 2014 and 20 June 2014 in relation to the Proposals. On behalf of the Board of Directors of Grand-Flo, RHB Investment Bank Berhad (“RHBIB”) is pleased to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 10 July 2014 (which was received on 11 July 2014), resolved to approve the listing of and quotation for 29,411,765 new ordinary shares of RM0.10 each in Grand-Flo (“Grand-Flo Shares”) pursuant to the Proposed Acquisition. The approval granted by Bursa Securities for the new Grand-Flo Shares arising from the Proposed Acquisition is subject to the following conditions: (i) Grand-Flo and RHBIB must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Acquisition; (ii) Grand-Flo and RHBIB to inform Bursa Securities upon the completion of the Proposed Acquisition; (iii) Grand-Flo to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisition is completed; and (iv) Grand-Flo and RHBIB to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders in general meeting approving the Proposed Acquisition and Proposed Diversification.
