The Board of Directors of OSKVI ("Board") wishes to announce that its wholly-owned subsidiary company, OSK Technology Ventures Sdn Bhd ("OSKTV"), had on 23 June 2014 acquired one (1) ordinary share of RM1.00 each in the share capital of VT Payment (M) Sdn Bhd (Company No. 1098633-A) ("VTPM") from Mr. Yee Chee Wai, a Director of OSKVI, OSKTV and VTPM, for a total consideration of RM1.00 ("Acquisition"). Subsequent to the Acquisition, VTPM became an indirect wholly-owned subsidiary company of OSKVI. 2. Information on VTPM VTPM was incorporated in Malaysia under the Companies Act 1965 on 23 June 2014 with an authorised share capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each and paid-up share capital of RM2.00 divided into 2 ordinary shares of RM1.00 each. The intended principal activity of VTPM will be auxiliary activities to finance. 3. Financial Effects The Acquisition is not expected to have any material effect on the earnings per share and net tangible assets per share of OSKVI. 4. Directors' and Major Shareholders' Interest Except as disclosed in item (1) above, none of the Directors, major shareholders or persons connected with the Directors and/or major shareholders of OSKVI has any interest, direct or indirect, in the Acquisition. 5. Statement by the Board of Directors The Board is of the opinion that the Acquisition is in the best interest of the OSKVI Group.
