We refer to the announcement dated 15 January 2014 in relation to the Proposed Internal Reorganisation. The Board wishes to announce that the Conditions Precedent as set out in the Business Transfer Agreement (“BTA”) dated 15 January 2014 have been fulfilled with effect from 16 April 2014. Within the context of the BTA, the date 16 April 2014 is now deemed as the “Unconditional Date”. With the determination of the Unconditional Date and pursuant to the provisions set out in clause 6 of the BTA, the parties involved have agreed to execute any outstanding specified tasks leading towards Completion of the BTA on or before 30 April 2014.
