Boustead REIT Managers Sdn Bhd, AFFIN Investment Bank Berhad wishes to announce
that the Securities Commission (“SC”)
has vide its letters dated 8 November 2013: (i) consented
to the contents of the Circular and the Explanatory Statement to unitholders in
relation to the Proposals (collectively, the “Document”); and (ii) approved the exemption application from
complying with certain provisions of the Malaysian Code on Take-Overs and
Mergers, 2010 (“Code”) under Paragraph
1.1. of Practice Note 44 (“PN 44”) of
the Code (“Proposed Exemption”). The consent of the SC for the contents of the
Document is not subject to any condition. The approval by the SC for the Proposed Exemption
is subject to Boustead REIT complying with the requirements under Paragraph 1.2
of PN44 of the Code including the following: (a) Boustead REIT is to obtain the SC’s consent
for: (i) a circular to be despatched to the
unitholders of Boustead REIT by the Manager of Boustead REIT, which has been
obtained on 8 November 2013; (ii) an explanatory statement containing all
information and statements specified under Section 12 and the First Schedule of
the Code, which has been obtained on 8 November 2013; and (iii) an independent advice circular containing all
information and statements specified under Section 15 and Second Schedule of
the Code; (b) The proposed selective unit redemption
exercise (“Proposed SUR”) must
comply with the provisions of the Code and PN 44; and (c) All interested parties must abstain from
voting on the Proposed SUR. This
