(“KMDI”), representing the entire issued and paid-up share capital of KMDI, for a total cash consideration of RM2.00 (“the Acquisition”). KMDI was incorporated in Malaysia as a private limited company on 17 September 2013. The authorised share capital of KMDI is RM200,000,000.00 and its paid-up share capital is RM2.00. The principal activity of KMDI is investment holding and provision of consultancy and management services to specialist medical centres. Pursuant to the Acquisition, KMDI will become a wholly-owned subsidiary of TDM. The Acquisition will not have a material effect on the net assets and earnings of the TDM Group for the financial year ending 31 December 2013. None of the Directors or major shareholders of the Company and/or persons connected to them, has any interest, direct or indirect, in the Acquisition. The Board is of the opinion that the Acquisition is in the best interest of the Company. The Acquisition is not subject to the approval of the shareholders or any of the regulatory authorities.
