We have today received a notice from RHB Investment Bank, acting on behalf of JSSB, the Offeror that on 31 October 2013, the Offeror had entered into a conditional sale and purchase agreement with certain shareholders of the Company (“SPA”) to acquire 46,746,798 ordinary shares of RM 1.00 each in the Company (“OIB Shares”), representing approximately 51.63% of the issued and paid-up share capital of OIB for a total cash consideration of RM116,866,995, or equivalent to RM 2.50 per OIB Share (“Acquisition”). The SPA became unconditional on 31 October 2013. Following the Acquisition, the Offeror’s shareholding has exceeded 33% of the voting shares in OIB, thus becoming the new controlling shareholder of OIB. RHB Investment Bank on behalf of the Offeror has on even date written to the Company to extend a mandatory take-over offer pursuant to Section 218(2) of the Capital Markets & Services Act, 2007 and Section 9(1), Part III of the Malaysian Code on Take-Overs and Mergers, 2010 (“Code”) to acquire all the remaining 43,798,204 OIB Shares representing 48.37% of the issued and paid-up share capital of OIB which are not already held by the Offeror and its persons acting in concert for a cash offer price of RM2.50 per Offer Share (“Offer Shares”). In accordance with the Malaysian Code on Take-Overs and Mergers, 2010, the Board will appoint an independent adviser to advise the Board and the holders of the Offer Shares in relation to the Offer.
