subsidiary of DEGEM, has been placed under members' voluntary winding-up on 28 October 2013. 1. INTRODUCTION The Board of Directors of DEGEM wishes
to announce that DRSB, a wholly-owned subsidiary of D&P,
which is in turn a wholly-owned subsidiary of DEGEM, has been placed under members' voluntary winding-up pursuant to Section 254(1)(b) of the Companies Act, 1965 on 28 October 2013 and Madam Lim Ay Ju (NRIC No. 700530-04-5124) of E2-502,
Tingkat 5, Block E2, Pangsapuri Sri Pelangi, No. 1, Jalan Bumi U5/137, Seksyen
U5, 40150 Shah Alam, Selangor Darul Ehsan was appointed as the
Liquidator. 2. INFORMATION ON DRSB DRSB was incorporated
on 22 January 2003. It has an authorised share capital of RM500,000.00 divided into 500,000 ordinary
shares of RM1.00 each of which 300,000 ordinary shares of RM1.00 each are
issued and fully paid-up. It is a wholly-owned subsidiary of D&P which is in turn a wholly-owned subsidiary of DEGEM. DRSB was
previously involved in trading in diamonds and jewellery and the operation of a
rewards redemption programme before it ceased operation on 31 January 2011. DRSB
is not a major subsidiary of DEGEM. The total cost of investment in DRSB is RM300,000.00. 3. RATIONALE The winding-up
is to save costs in maintaining DRSB as it has been inactive since 31 January
2011. 4. FINANCIAL
EFFECTS The winding-up
is not expected to have any material effect on the earnings and net assets of DEGEM
Group for the financial year ending 31 December 2013. 5. APPROVAL The winding-up
is not subject to DEGEM shareholders’ approval. 6. DIRECTORS’
AND MAJOR SHAREHOLDERS’ INTEREST None of the
