We refer to the announcement dated 7 June 2013 in relation to the DRS. On behalf of the Board of Directors of UOA Development, RHB Investment Bank Berhad (“RHB Investment Bank”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had, vide its letter dated 17 June 2013 (which was received on 18 June 2013), approved the listing of and quotation for up to 90,769,600 new Shares to be issued pursuant to the DRS on the Main Market of Bursa Securities. The approval granted by Bursa Securities for the listing application is subject to the following conditions: (i) UOA Development and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the DRS; (ii) UOA Development and RHB Investment Bank to inform Bursa Securities upon the completion of the DRS; and (iii) UOA Development to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the DRS is completed. We refer to the Company’s announcement dated 27 May 2013 in relation to the application by the Company to Bursa Malaysia Securities Berhad (“Bursa Securities”) for an extension of time to submit the regularisation plan (“Announcement”). Unless otherwise stated, abbreviations and definitions used throughout this announcement shall be the same as those previously defined in the Announcement. On behalf of the Board, Affin Investment Bank Berhad wishes to announce that Bursa Securities has vide its letter dated 18 June 2013 (“Letter”), granted the Company an extension of time of 4 months up to 18 October 2013 to submit a regularisation plan to the regulatory authorities, subject to the Requisite Announcement being made within 2 months from the date of the said Letter. The aforesaid extension of time is without prejudice to Bursa Securities’ right to proceed to suspend the trading of the securities of Octagon and to de-list the Company in the event: (i) the Company fails to submit the Requisite Announcement on or before 18 August 2013; (ii) the Company fails to submit a regularisation plan to the regulatory authorities on or before 18 October 2013; (iii) the Company fails to obtain the approval from any of the regulatory authorities necessary for the implementation of the regularisation plan; or (iv) the Company fails to implement its regularisation plan within the time frame or extended time frames stipulated by Bursa Securities. Upon occurrence of any of the events set out in (i) to (iv) above, Bursa Securities shall suspend the trading of the listed securities of Octagon upon the expiry of five (5) market days from the date the Company is notified by Bursa Securities and de-list the Company, subject to the Company's right to appeal against the delisting. This announcement is dated 18 June 2013.
