(Unless otherwise stated, the exchange rate of Great Britain Pound (“GBP”) 1.00 : Malaysian Ringgit (“RM”) 4.9215 being the prevailing exchange rate on 19 June 2013 as published by Bank Negara Malaysia, has been applied in this announcement) On behalf of the Board of Directors of Kulim, RHB Investment Bank Berhad wishes to announce that the Company intends to make a partial offer via Citigroup Global Markets Limited for up to 30,009,621 ordinary shares in NBPOL representing up to 20% of NBPOL’s issued and paid-up share capital not already owned by Kulim (“Offer Share(s)”) for GBP5.50 per Offer Share or a cash consideration of approximately GBP165.05 million (which is equivalent to approximately RM812.30 million) pursuant to the PNG Code. Kulim’s intention to serve a takeover notice in respect of the Partial Offer will be notified to NBPOL following this announcement. | |
