This announcement is dated 18 June 2013. We refer to the announcements dated 14 November 2012, 5 December 2012, 7 December 2012, 14 December 2012, 5 March 2013, 2 April 2013, 28 May 2013 and 18 June 2013 in relation to the Proposals (“Announcements”), and the Circular to the shareholders of GHL dated 6 March 2013 (“Circular”). Unless otherwise stated, the definitions used throughout this announcement shall have the same meanings as defined in the Announcements and the Circular. On behalf of the Board of Directors of GHL (“Board”), AmInvestment Bank Berhad wishes to announce that the Board has fixed the issue price for the Proposed Rights Issue at RM0.24 per Rights Share (“Issue Price”). The Issue Price was arrived at after taking into consideration, amongst others, the prevailing market condition and market price of the GHL Shares, the theoretical ex-rights price (“TERP”) of the GHL Shares based on the five (5)-day volume-weighted average market price (“VWAP”) of the GHL Shares up to and including 17 June 2013, being the last market day prior to this announcement and an appropriate discount to the TERP. The Issue Price represents a discount of approximately 20% to the TERP of RM0.30, based on the five (5)-day VWAP of the GHL Shares up to and including 17 June 2013. The Rights Issue will raise gross proceeds of approximately RM8.72 million based on the Issue Price of RM0.24 per Rights Share. The Board is of the view that such discount to the TERP will provide shareholders of GHL with an attractive opportunity to increase their participation in the Company. |
